ImmunoScience, Inc. is a Nevada Corporation initially founded by Sateesh Apte, M.D. in July, 1995, for the purpose of researching, developing and marketing innovative products to the biomedical industry. Seed capital and first stage financing was obtained via private placement from a group of investors, which has funded the development of the company and its products thus far. The Company’s exciting main product, Contre-Vir™, a live recombinant therapeutic vaccine and a potential cure for HIV infection is pending further clinical trials after a very successful pilot trial. In the interim, the company has focused its efforts on testing and manufacturing of its saliva based diagnostic tests for HIV, Syphilis, Hepatitis B & C, Drugs of Abuse and Tuberculosis. With aggressive efforts, a worldwide distributor network has been established and is working diligently to obtain regulatory approvals and establish sales. The network has achieved success in Russia where the Russian Ministry of Health has approved Company’s Salivax™ tests after en extensive evaluation by Russia’s foremost institutes and Company expects to sell 800,000 test kits in Russia during 2000. The distributor for Western Africa has managed to obtain orders for 1,100,000 tests from a major pharmaceutical company operating in Africa. Company has also been assured of an order for 1,000,000 test kits in the region of Southern Africa for 2000. Other tests are also being made available to distributors in the Nordic countries for rapid detection of pregnancy, ovulation and infections such as chlamydia to be distributed via Sweden’s only drug store chain “Apoteket” and its sisters in Norway and Denmark. Company expects to fully develop and sell about 9 additional different test kits during 2000 and obtain FDA approval for 2-5 of them. Company’s distributor for Peoples’ Republic of China expects to get approval for the test kits from the Ministry of Health during the first half of 2000 followed by significant product sales in the second half.  The products are currently being tested or are in the planning phases of testing in several countries in South America, Central America and Asia.

 

     The company has established prospective sites for a comprehensive multi-center trial of company’s therapeutic vaccine to treat and prevent HIV infection by utilizing a live virus vaccine engineered with recombinant technology.  Very strong interest for conducting the trials has been received in scientist groups and ministry officials in various countries in Africa and Asia. Company expects to start trials of Contre-Vir™ during the first half of 2000 and expects to have results for publication by the end of 2000. The Contre-Vir™ vaccine has undergone initial development, pre-clinical studies and two successful pilot clinical studies.

 

     During 1999, Company has begun establishing a relationship with a major Russian Institute for the development and clinical trials of its Multiple Sclerosis product. Company is in the planning phase of such a pilot trial and expects to begin work in the second quarter of 2000.

 

     Company was showcased and invited as a presenter by the Osaka Chamber of Commerce and Industry in its Global Venture Forum where only a handful of emerging growth companies from around the world are invited each year. Company’s presentation at this forum attracted the attention of 19 top Japanese corporations and negotiations are currently underway with several companies for joint ventures, development of additional products and financial tie-ups. Some of these companies are large multinationals which are household words in most of the world.

 

     Company was also invited by the Secretariat of the British Commonwealth to make a presentation to the meeting of Commonwealth Health Ministers and staff in Durban, South Africa. Company’s product was displayed in the Secretariat’s mouthpiece – “Health in the Commonwealth” and an announcement made in the Commonwealth Medical Association’s AIDS Vaccine Initiative.

 

     In 1999 and 2000, Company received approval for sale of its Salivax™ products in Russia, Ghana, South Africa and Nigeria. The products were also taken up by the World Health organization for testing which is being conducted at the Institute of Tropical Medicine in Antwerp, Belgium.

 

     In India, Company has forged a relationship with <a href=”http://www.wockhardtin.com”>Wockhardt, Ltd. </a> to market the products as point-of-care devices. Wockhardt, Ltd. is a major pharmaceutical company with sales in Africa, south Asia and Southeast Asia.

 

     Company’s scientists have visited several countries in Africa and have executed a Memorandum of Understanding with JCRC in Uganda for beginning clinical trials of Contre Vir™ and have received letters of intent from Tanzania, The Noguchi Institute in Ghana and from South Africa. These trials are to begin soon.

 

 

MANAGEMENT

 

Directors, Executive Officers and Key Personnel

 

1.      Dr. Sateesh N. Apte, M.D., President & CEO: A Neurologist  in Pleasanton, California and founder of the Company. Dr. Apte had his undergraduate education in India and he completed his residencies at Boston University Medical Center, Harvard Medical School, UC Davis Medical Center and also completed a fellowship at Stanford University Medical Center. In addition to raising funds for the activities of ImmunoScience, he has also actively participated in all the other vital functions including Research, Development, Website Design, Engineering, Graphic Design, Regulatory Aspects and Foreign Research Planning. One of his hidden strengths is his ability to speak several languages fluently, which allows easier access in 3/4th of the world. Prior to starting with ImmunoScience, Dr. Apte had a private practice in San Ramon and Pleasanton, California.

 

2.      Robert J Nagy, CPA, Vice President, Finance & CFO: Mr. Nagy, formerly CFO of a  publicly held company in South Carolina, received his accounting degree from the University of South Carolina.  He has extensive private practice experience as a CPA, having served as a Senior Tax Manager with McGladrey & Pullen and managing partner of a large local CPA firm in Columbia, South Carolina.  He has extensive experience in corporate budgeting, financial analysis, operations, systems implementation and long-range strategic planning.  He has experience in all aspects of SEC reporting and compliance.   More recently, as a partner at Financial Resources Group, LLC, he has been involved with operations planning and consulting, and debt and equity financing for early and mid-stage companies.  Mr. Nagy  is a member of the American Institute of CPAs and the South Carolina Association of CPAs.

 

3.      Victor Martin, Ph.D., Vice President, Manufacturing and Regulatory Affairs: Dr. Martin obtained his undergraduate and graduate degrees in London, UK and obtained his Ph.D. from St. Bartholomew’s Hospital Medical School in London, UK. He has extensive experience in biotechnology companies, including Manufacturing, Quality Control, Quality Assurance, Regulatory Affairs and Project Management. Prior to ImmunoScience, Dr. Martin was employed by BioGenex laboratories in San Ramon, another biotechnology company. Dr. Martin has extensive experience with FDA requirements with respect to Quality Systems and application process including 510-K and new device applications.

 

4.      Quirin Miranda, Ph.D., Vice President, Product Development: Dr. Miranda received his Ph.D. in Microbiology from the University of Manchester, UK and has held important management and research positions at various biotechnology and pharmaceutical firms including Schering, Organon Technika, DDI pharmaceuticals, Food Sciences Corp and Sepragen. He has several US patents to his credit and his expertise promises to be a major asset to ImmunoScience, Inc.

 

5.      John Morken, Esq., Director: Mr. Morken has been with the company since shortly after its inception. He has a vary diverse background in all areas of business including Corporate and Commercial law, Real Estate, Acquisitions, Sales, Leasing and Governmental Affairs. Mr. Morken has been in the private practice of Law for the past several years.

 

6.      Lorenzo Crutchfield, Director: Mr. Crutchfield has been with the company for four years and has an extensive background in Insurance and Telecommunications enterprises. After the founder, he is the second largest shareholder of the company. Mr. Crutchfield was the Chairman of the Board of Transworld Telecommunications, Inc. for seven years before the company was sold to Sprint Corp.

 

7.      John Washington, Secretary and Director: Mr. Washington, a Majority Partner in Carale Cellular Partners has been with the company for over 2 years. Prior to overseeing the formation and final disposition of Carale Cellular Partners to a major Eastern telephone company, Mr. Washington was with Kaiser Aerospace doing work on such projects as C4 and D5 Trident missiles and MX missiles. His special expertise in plastics, manufacturing and process control is expected to be a great asset to ImmunoScience. He is also an important and sizable shareholder of ImmunoScience, Inc.

 

8.      David A. Kekich, Vice President, Public and Investor Relations: Mr. Kekich, is also a president of Red Tree International. Mr. Kekich is an investor, financial planner and has a wide range on expertise in Investment Banking, Venture Capital, Capital Structuring and Exit Strategies for Venture Capital Investors. Mr. Kekich has been associated with Dr. Apte and ImmunoScience, Inc. since February 1995.

 

Scientific Advisory Board

 

The scientific advisory board has been formed to assist the Company in conducting its research and product innovations. The following members form the board:

 

1.      Armin Ramel, Ph.D., Chair: Dr. Ramel has a Ph.D. in Physical Chemistry from University of Basel, Switzerland. Dr. Ramel has an extensive experience in the biotechnology and pharmaceutical industries. He was in charge of product development at Hoffman La Roche in Switzerland and the United States and was a director of process development at Genentech Corporation. His most recent appointment was as a Vice-President of Product Development at Scios, Corp.

 

2.      Milton R.J. Salton, Ph.D., D.Sc, F.R.S.: Dr. Salton has a Ph.D. from the University of Cambridge in UK and he has been an eminent microbiologist well known on both sides of the Atlantic, Australia and Brazil. He is a fellow of the prestigious Royal Society. He has been a faculty member of various notable universities including Cambridge, University of California at Berkeley, Temple University and University of Adelaide. He is a member of over a dozen prestigious professional societies and has served on the editorial board of about 10 peer review scientific journals. A well-published and accomplished researcher, Dr. Salton has over 150 scientific publications in the scientific literature.

 

3.      Edwin Lenette, M.D., Ph.D.: Dr. Lenette is fondly called the “father of virology” by his peers. He has received a Doctor of Medicine and a Ph.D. from the University of Chicago and has had a distinguished career spanning several decades encompassing academia, government and private industry. In addition to receiving over 20 awards and honors, he has been well-published in the medical literature, having about 500 publications to his name. He has also written chapters in about 50 different textbooks on microbiology and virology. He brings a very special input to the Company because he has been involved with practically every single vaccine project ever undertaken in science.

 

4.      George Luedemann, Ph.D.: Dr. Luedemann has a Ph.D. in microbiology and has been well known in the academia and industry. He worked for Schering corp. where he invented Gentamycin, the first antibiotic useful against gram negative organisms, an invention almost at par with the discovery of penicillin.

 

5.      Dr. Ronald H. Gray, MD, MSc, DTM&H. : is a scientific advisor to ImmunoScience, Inc. Dr. Gray is a Professor at Johns Hopkins University School of Public Health and is a Director of the Center for VDT and Health Research. He has extensive contributions to the medical literature in the fields of epidemiology and public health. He has conducted research in various Asian and African countries, Australia, UK and of course, the United States. Dr. Gray became aware of ImmunoScience’s therapeutic vaccine while consulting with the honorable health minister of Uganda, Dr. Chrispus Kiyonga and has been optimistically excited about the prospect of a therapeutic vaccine.

 

6.   Dr. Ellen Jo Baron, Ph.D.: Dr. Baron has been at Stanford since 1997, serving on the clinical faculty in the infectious diseases division. She directs the Stanford Clinical Microbiology/Virology Laboratory. Dr. Baron is an  associate professor of pathology at the Medical Center effective April 2000 through March 2005. Dr. Baron received her PhD in medical microbiology with minors in biochemistry and bacteriology in 1981 from the University of Wisconsin, Madison. She worked in southern California as consulting director, microbiology and immunology, with Endocrine Sciences and as a consulting microbiologist with several area hospitals. She served as an adjunct associate professor at UCLA and as a clinical associate professor at the University of Southern California. In 1997 Baron received the prestigious Alice C. Evans Award from the American Academy of Microbiology in recognition of her scientific accomplishments, including the discovery of a previously unknown anaerobic bacterium. This year she garnered the BioMerieux Sonnenwirth Award from the American Society of Microbiology. She is a fellow of the American Academy of Microbiology and of the Infectious Diseases Society of America. She currently chairs the American Board of Medical Microbiology. Dr. Baron also serves on the advisory board of the US  FDA related to diagnostic devices.
